These Terms of Use (“Terms”) govern your access to and use of the RealityChek website, platform, products, APIs, and services (collectively, the “Platform”) operated by RealityChek (“RealityChek,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into binding agreements to use the Platform.

If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind such organization to these Terms.

License and Permitted Use

Subject to these Terms, RealityChek grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful business or personal purposes.

You agree to use the Platform only in accordance with applicable laws and regulations.

Prohibited Conduct

You shall not, directly or indirectly:

• use the Platform for unlawful, fraudulent, or malicious purposes;
• attempt to reverse engineer, decompile, or extract source code or models;
• interfere with or disrupt the integrity, performance, or security of the Platform;
• bypass, disable, or circumvent security measures or access controls;
• use the Platform to develop or train competing products or services;
• submit or process data that you do not have the legal right to use or disclose;
• exploit the Platform in a manner that could harm RealityChek or other users.

AI and Risk Acknowledgment

The Platform utilizes artificial intelligence, machine learning, and analytical models to generate outputs, risk assessments, and verification signals.

You acknowledge and agree that:

• outputs may be probabilistic, incomplete, or inaccurate;
• no system can guarantee detection or prevention of all fraud, impersonation, or synthetic activity;
• you remain solely responsible for evaluating and acting upon any outputs.

The Platform is a decision-support tool and not a substitute for independent judgment or professional advice.

User Data and Responsibility

You retain ownership of any data you submit to the Platform (“User Data”).

You represent and warrant that:

• you have all necessary rights, consents, and legal authority to submit User Data;
• your use of the Platform does not violate privacy, data protection, or other applicable laws.

You grant RealityChek a worldwide, non-exclusive, royalty-free license to process, analyze, and use User Data solely for the purpose of providing and improving the Platform.

Privacy

Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to the collection and use of information as described therein.

Intellectual Property

All rights, title, and interest in and to the Platform—including all software, models, algorithms, content, trademarks, and intellectual property—are and shall remain the exclusive property of RealityChek or its licensors.

No rights are granted to you other than those expressly set forth in these Terms.

Third-Party Services

The Platform may integrate or rely on third-party services, data sources, or infrastructure. RealityChek does not control and is not responsible for such third-party services and disclaims all liability arising from their use.

Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided “as is” and “as available,” without warranties of any kind.

RealityChek disclaims all warranties, express or implied, including but not limited to:

• accuracy, reliability, or completeness of outputs;
• uninterrupted or error-free operation;
• fitness for a particular purpose or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, RealityChek shall not be liable for any:

• indirect, incidental, consequential, special, or punitive damages;
• loss of profits, revenue, data, or business opportunities;
• damages arising from reliance on Platform outputs.

In no event shall RealityChek’s total aggregate liability exceed the amount paid by you (if any) for access to the Platform in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RealityChek and its affiliates, officers, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• your use or misuse of the Platform;
• your violation of these Terms or applicable laws;
• your User Data.

Suspension and Termination

RealityChek reserves the right, at its sole discretion, to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.

Modifications to the Platform and Terms

RealityChek may modify, update, or discontinue the Platform or these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable agreements, constitute the entire agreement between you and RealityChek regarding the use of the Platform and supersede all prior agreements or understandings.
